Terms of Service
1. Acceptance of Terms
By accessing or using Kenna AI (the “Service”), available at studio.kenna.ai and operated by Kenna AI, Inc. (“Kenna AI,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify users of material changes via email or in-app notification.
2. Description of Service
Kenna AI is a browser-based AI design studio that provides image generation, editing, and design tools powered by third-party artificial intelligence models. The Service is intended for use by fashion and product design professionals and teams.
The Service includes, but is not limited to: AI-powered image generation, image editing and manipulation, pattern application, virtual try-on, and related design workflows.
3. Account Registration
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you meet this age requirement.
You agree to immediately notify Kenna AI of any unauthorized use of your account or any other breach of security.
4. Subscription Plans, Credits, and Billing
4.1 Plans and Credits
The Service operates on a credit-based system. Each subscription plan includes a monthly credit allocation. Credits are consumed when using AI generation tools. Different tools may consume different amounts of credits per use.
Unused monthly credits do not roll over to the next billing period unless otherwise specified. Purchased credit packs do not expire and carry over through billing cycles.
4.2 Billing
Paid subscriptions are billed on a recurring monthly basis through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize Kenna AI to charge your payment method on a recurring basis.
All fees are stated in U.S. dollars and are non-refundable except as expressly set forth in these Terms or as required by applicable law.
4.3 Cancellation
You may cancel your subscription at any time through the billing portal in your account settings. Upon cancellation, your account will be downgraded to the free plan at the end of your current billing period. No prorated refunds are provided for partial billing periods.
4.4 Price Changes
We reserve the right to change our pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following notice of the change.
5. User Content and Generated Outputs
5.1 Your Content
You retain all rights to the images, designs, and other content you upload to the Service (“User Content”). By uploading User Content, you grant Kenna AI a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing the Service.
5.2 Generated Outputs
Images and other content generated by the Service using AI models (“Generated Outputs”) are provided to you for your use subject to these Terms. You are solely responsible for evaluating the appropriateness, accuracy, and legality of any Generated Outputs before using them for any purpose.
KENNA AI MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ORIGINALITY, UNIQUENESS, OR NON-INFRINGEMENT OF ANY GENERATED OUTPUTS. Generated Outputs are produced by third-party AI models and may produce results similar or identical to outputs generated for other users.
5.3 No Indemnification
KENNA AI DOES NOT PROVIDE INDEMNIFICATION OF ANY KIND. You acknowledge and agree that Kenna AI shall not indemnify, defend, or hold you harmless against any claims, damages, losses, liabilities, or expenses arising from your use of Generated Outputs. You assume all risk associated with the use of Generated Outputs, including but not limited to claims of intellectual property infringement, defamation, or violation of any third-party rights.
5.4 User Responsibility for Outputs
You are solely and exclusively responsible for all Generated Outputs that you download, distribute, publish, or otherwise use. You agree that you will not use Generated Outputs in any manner that infringes upon the rights of any third party, violates any applicable law or regulation, or constitutes defamation, harassment, or obscenity.
You agree to review all Generated Outputs before use and to ensure compliance with all applicable laws, regulations, and industry standards, including but not limited to intellectual property laws, trademark laws, and advertising standards.
6. Prohibited Uses
You agree not to use the Service to:
(a) Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
(b) Generate content that infringes upon the intellectual property rights of any third party;
(c) Generate content depicting minors in any inappropriate context;
(d) Attempt to reverse-engineer, decompile, or extract the underlying AI models, prompts, or algorithms;
(e) Use the Service to develop a competing product or service;
(f) Share, resell, or redistribute your account credentials;
(g) Use automated systems, bots, or scrapers to access the Service;
(h) Circumvent any technical measures designed to enforce usage limits;
(i) Upload content that contains malware, viruses, or other harmful code.
7. Intellectual Property
The Service, including its software, design, user interface, documentation, and all related intellectual property, is owned by Kenna AI, Inc. and is protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms grants you any right, title, or interest in the Service itself, our trademarks, or our proprietary technology.
8. Third-Party Services
The Service utilizes third-party AI models (including Google Gemini), payment processing (Stripe), cloud infrastructure (Vercel, Cloudflare, Supabase), and other third-party services. Your use of the Service is also subject to the terms and policies of these third-party providers.
Kenna AI is not responsible for the availability, accuracy, or performance of third-party services, and shall not be liable for any damages or losses arising from third-party service disruptions or failures.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. KENNA AI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Kenna AI does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the Service will be accurate, reliable, or suitable for any particular purpose; (c) any defects in the Service will be corrected; (d) Generated Outputs will not infringe upon the intellectual property rights of third parties.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KENNA AI, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
THE TOTAL AGGREGATE LIABILITY OF KENNA AI FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO KENNA AI DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification by User
You agree to indemnify, defend, and hold harmless Kenna AI, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from: (a) your use of the Service and any Generated Outputs; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any content you upload, generate, distribute, or otherwise make available through the Service.
12. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately.
You may delete your account at any time by contacting [email protected].
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New York County, New York.
15. Miscellaneous
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kenna AI regarding the Service.
Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
Waiver. No waiver of any provision shall be deemed a continuing waiver.
Assignment. You may not assign your rights without our written consent. Kenna AI may assign without restriction.
Force Majeure. Kenna AI shall not be liable for failures due to circumstances beyond its reasonable control.
